1. Introduction

These Terms and Conditions ("Agreement") govern your access to and use of services provided by Techlink GH ("Company," "we," or "us"). By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, please refrain from using our services.

2. Definitions

"Services" refers to all products, applications, and services offered by Techlink GH, including but not limited to SMS messaging, gift card purchases, wallet top-ups, and mobile money transactions.
"User," "you," or "your" refers to any individual or entity accessing or using our Services.
"Account" refers to the registered profile created to access certain features of our Services.

3. User Accounts and Registration

3.1 Account Creation

To access certain Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information.

3.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access to your account or other security breaches

4. Acceptable Use

4.1 Compliance with Laws

You agree to use our Services only for lawful purposes and in accordance with this Agreement. You shall comply with all applicable laws, regulations, and third-party agreements.

4.2 Prohibited Activities

You may not:

• Use our Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our Services
• Use our Services in any way that could damage, disable, overburden, or impair the functioning of our Services
• Attempt to gain unauthorized access to our Services or systems
• Use our Services for any fraudulent or illegal purpose

4.3 User Conduct

Techlink GH reserves the right to suspend or terminate service to any user who:

• Engages in abusive, threatening, or harassing behavior toward our staff or other users
• Makes unreasonable or excessive demands on our customer service resources
• Repeatedly submits frivolous complaints or claims
• Attempts to manipulate our systems or policies to gain unfair advantages
• Posts defamatory or derogatory content about our company or services
• Engages in any conduct that, in our sole discretion, is detrimental to our business operations or reputation

We reserve the right to determine, at our sole discretion, what constitutes unacceptable conduct and to take appropriate action, including but not limited to service suspension, account termination, or legal proceedings.

5. Financial Terms

5.1 Fees and Payments

• Certain Services may require payment of fees as described on our website
• You agree to pay all applicable fees and charges associated with your use of our Services at the rates in effect when the charges were incurred
• All payments are non-refundable except in the following circumstances:
  • When an order fails to be delivered after several documented attempts, in which case a refund will be processed for the failed transaction
  • When explicitly required by applicable law
• Refund processing may take 5-10 business days depending on your payment method and financial institution

5.2 Payment Processing

We utilize secure third-party payment processors to handle financial transactions. By providing payment information, you represent that you are authorized to use the payment method specified.

6. Privacy and Data Protection

6.2 Data Security

7. Intellectual Property Rights

7.1 Ownership

All content included on our platforms, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Techlink GH or its content suppliers and is protected by international copyright laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes, subject to your compliance with this Agreement.

8. Limitation of Liability

8.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHLINK GH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

9. Indemnification

You agree to defend, indemnify, and hold harmless Techlink GH, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of this Agreement.

10. Modifications to the Agreement

10.1 Amendments

We reserve the right to modify this Agreement at any time at our sole discretion. If we make changes, we will provide notice by posting the updated Agreement on our website and updating the "Last Updated" date.

10.2 Continued Use

Your continued use of our Services following the posting of any modifications constitutes acceptance of those changes. If you do not agree to the modified terms, you must discontinue using our Services.

11. Termination

11.1 Termination by User

You may terminate your account at any time by following the instructions on our platform or by contacting our customer support.

11.2 Termination by Company

We reserve the right to suspend or terminate your access to our Services, with or without notice, for any reason, including, without limitation, breach of this Agreement or unacceptable conduct as outlined in Section 4.3.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any dispute arising from or relating to this Agreement shall be resolved through arbitration in accordance with the rules of the Ghana Arbitration Centre.

13. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

This Agreement, together with the Privacy Policy and any other legal notices published by Techlink GH, constitutes the entire agreement between you and Techlink GH concerning your use of the Services.
